NFT REDEMPTION TERMS AND CONDITIONS

Effective Date: January 14, 2026

These Koala 2025 Collector’s Briefcase NFT Redemption Terms and Conditions (these “Redemption Terms”) govern the redemption of the Koala 2025 Collector’s Briefcase (the “Briefcase”) by eligible holders of the Koala 2025 Collector’s Briefcase NFT (the “Briefcase NFT”) through the official redemption page located at https://veefriends.com/burn-island/eruptions/2026-01-14-koala-2025-collectors-briefcase (the “Redemption Site”).

These Redemption Terms constitute a legally binding agreement between you (“you,” “your,” or “Claimant”) and Vee Friends, LLC (“VeeFriends,” “we,” “us,” or “our”).

BY ACCESSING THE REDEMPTION SITE, HOLDING, TRANSFERRING, OR BURNING A BRIEFCASE NFT, OR OTHERWISE PARTICIPATING IN THE REDEMPTION PROCESS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE REDEMPTION TERMS, INCLUSIVE OF THE ARBITRATION PROVISIONS HEREIN.

1. INCORPORATION OF OTHER TERMS.

These Redemption Terms are in addition to, and incorporate by reference, the following policies and agreements (collectively, the “VeeFriends Governing Terms”):

  • VeeFriends Terms of Use

  • VeeFriends NFT Terms of Sale and User License

  • VeeFriends E-Commerce Terms of Use

  • VeeFriends Copyright Policy

  • VeeFriends Privacy Policy

In the event of any conflict between these Redemption Terms and the VeeFriends Governing Terms, these Redemption Terms shall control solely with respect to the Briefcase NFT redemption.

2. DESCRIPTION OF THE PROMOTION.

The Briefcase NFT is a promotional, utility-based digital asset issued by VeeFriends in connection with a limited redemption opportunity for a physical collector’s product.

Each redeemed Briefcase has an approximate manufacturer’s suggested retail price (MSRP) of $649.99 USD and includes the following items (collectively, the “Briefcase Contents”):

  • One (1) Koala’s Series 1 Chase Case

  • Six (6) Sealed Manga Medals – Series 0

  • Five (5) Class of 2022 Spinner Pins

  • One (1) Class of 2022 Collectible Coin

  • One (1) VeeFriends × Hagley West Watch

  • One (1) Sealed Box of Three Black & White Comic Book Cover Variants (one guaranteed signed by cover artist)

  • One (1) Graded Koala 2025 Super Sticker

The Briefcase Contents are fixed and may not be substituted.

3. ELIGIBILITY; AIRDROP.

A blockchain snapshot was taken on December 18, 2025 at approximately 12:00 p.m. ET (Base Block 39643926 / /ETH Block 24040839) of wallets holding eligible Koala 2025 NFTs. Each qualifying wallet received one (1) Briefcase NFT per qualifying NFT via airdrop on or about January 14, 2026 at approximately 10:00 a.m. ET.

The Briefcase NFT is freely transferable. Any lawful holder of a Briefcase NFT may redeem it, subject to compliance with these Redemption Terms.

4. REDEMPTION PERIOD.

Redemption is available only during the following period:

  • Redemption Start: January 14, 2026

  • Redemption End: December 31, 2026 at 11:59 p.m. Eastern Time

Upon expiration of the redemption period, all redemption rights associated with the Briefcase NFT permanently terminate, regardless of continued ownership or transfer of the NFT.

5. REDEMPTION REQUIREMENTS; NFT BURN.

Redemption may occur only through the Redemption Site and requires all of the following:

  1. The Claimant must hold a valid Briefcase NFT;

  2. The Briefcase NFT must be transferred into the Claimant’s VeeFriends Wallet (embedded within the Claimant’s VeeFriends account), if not already held there;

  3. The Claimant must complete the redemption flow on the Redemption Site;

  4. The Claimant must burn the Briefcase NFT through the Redemption Site; and

  5. The Claimant must submit complete and accurate shipping information.

Burning the Briefcase NFT is permanent and irreversible.

Any burn of the Briefcase NFT outside the Redemption Site, including via third-party tools or smart contract interactions, results in immediate forfeiture of all redemption rights, with no obligation or ability for VeeFriends to reverse, remedy, or replace the NFT or Briefcase.

6. CLAIM LIMITS; TAX REPORTING.

Each Briefcase NFT may be redeemed for one (1) Briefcase. A single VeeFriends account may redeem multiple Briefcases if it holds multiple Briefcase NFTs.

For United States tax reporting purposes, any Claimant redeeming four (4) or more Briefcases must submit a valid IRS Form W-9 prior to fulfillment of the fourth and any subsequent Briefcase.

International Claimants may be required to submit additional tax documentation, including a W-8BEN, as applicable.

7. SHIPPING; FULFILLMENT.

Shipping is available globally, excluding countries to which shipping from the United States may be sanctioned or otherwise regulated, including but not limited to Cuba, Iran, North Korea, and disputed portions of Ukraine. VeeFriends will cover standard shipping, handling, and duties.

Fulfillment will be handled by VeeFriends’ third-party logistics partners. Shipments are expected to begin in late February 2026. Delivery timelines are estimates only and are not guaranteed.

8. NO RETURNS; LIMITED DAMAGE REMEDIATION.

All redemptions are final. No refunds, returns, or exchanges are permitted once a Briefcase NFT has been burned.

If a Briefcase is received with substantial damage or missing items, Claimants may contact support@veefriends.com. Any remediation, replacement, or resolution is provided solely at VeeFriends’ discretion, subject to available inventory, on an as-available, first-come, first-served basis.

9. DISCLAIMERS; LIMITATION OF LIABILITY.

THE BRIEFCASE AND BRIEFCASE CONTENTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BY REDEEMING A BRIEFCASE NFT, YOU WAIVE ANY CLAIM FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR NON-REGULATORY PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE BRIEFCASE, THE BRIEFCASE NFT, OR THE REDEMPTION PROCESS.

10. PRIVACY.

Any personal information collected in connection with redemption is governed by the VeeFriends Privacy Policy and will be used solely for redemption, fulfillment, compliance, and customer support purposes.

11. GOVERNING LAW.

These Redemption Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-laws principles.

12. BINDING ARBITRATION; CLASS ACTION WAIVER.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

BY CLAIMING OR BURNING A BRIEFCASE NFT, YOU AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE REDEMPTION TERMS, THE BRIEFCASE, OR THE BRIEFCASE NFT SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JAMS, WITH THE ARBITRATION CONDUCTED IN NEW YORK, NEW YORK.

YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

13. MISCELLANEOUS.

VeeFriends reserves the right to modify or update these Redemption Terms at any time prior to the end of the redemption period. Continued participation constitutes acceptance of any updated terms. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
